Terms of Service

Effective August 13, 2026

These Terms govern your access to and use of the Jouliq platform, jouliq.com, and related services (the "Services"), provided by Jouliq LLC, a New York limited liability company ("Jouliq", "we", "us"). By using the Services, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization ("Customer").

1. The Services

Jouliq collects utility billing and usage data on a Customer's behalf, normalizes and audits that data, surfaces exceptions for review, and delivers results to systems the Customer designates. Specific features, volumes, and fees are set out in the order form or written agreement between Jouliq and the Customer, which controls if it conflicts with these Terms.

2. Eligibility and accounts

The Services are for business use. Customer is responsible for the accuracy of account information, for maintaining the confidentiality of credentials, and for all activity occurring under its accounts. Customer must notify us promptly of any unauthorized use.

3. Authorization to access utility accounts

Customer authorizes Jouliq to access, on Customer's behalf and as its agent, the utility provider accounts Customer identifies, and to retrieve statements, usage data, notices, and related information from them. Customer represents that it holds the rights necessary to grant this authorization for each account it connects. Customer may revoke this authorization at any time.

5. No professional advice

Jouliq provides data and workflow tooling. It does not provide accounting, tax, legal, engineering, or investment advice, and nothing produced by the Services should be treated as such. Audit findings, anomaly flags, and estimates are informational and may be incomplete or inaccurate.

6. Third-party services

The Services interoperate with third-party systems, including utility providers and property management software. Jouliq does not control those systems and is not responsible for their availability, accuracy, changes, or acts. Customer's use of a third-party service is governed by that party's own terms.

7. Fees

Fees, billing frequency, and payment terms are as stated in the applicable order form. Unless that document says otherwise, fees are non-refundable and stated exclusive of taxes.

8. Customer data and intellectual property

As between the parties, Customer owns its data. Customer grants Jouliq a non-exclusive license to host, process, transmit, and display that data as needed to provide the Services. Jouliq owns the Services and all related software, and may use aggregated, de-identified data that does not identify Customer to operate and improve the Services.

9. Acceptable use

Customer may not misuse the Services, including by accessing accounts it is not authorized to access, interfering with the Services' operation, attempting to circumvent security, reverse engineering the platform, or using the Services in violation of law or a third party's rights.

10. Disclaimers

Except as expressly stated in a written agreement, the Services are provided "as is" and "as available", and Jouliq disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Jouliq does not warrant that the Services will be uninterrupted, error-free, or that all billing errors or anomalies will be detected.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Jouliq's total liability arising out of or relating to the Services will not exceed the amounts paid by Customer to Jouliq in the twelve months preceding the event giving rise to the claim.

12. Term and termination

These Terms apply while Customer uses the Services. Either party may terminate as set out in the applicable order form, or, absent one, on written notice. On termination, Customer's access ends and Jouliq will make Customer data available for export for a reasonable period before deletion.

13. Changes

We may update these Terms. For material changes we will provide reasonable notice. Continued use of the Services after the effective date constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in New York.
